As the last period of the corporation's personality,liquidation legal system shoulders the task of protecting benefit balance of the interested party,avoiding the dissension because of benefit balance,and guaranteeing the social and economic order stability.but our country's corporation law obviously can't fit with the task.China's corporation liquidation legislation is far from perfect. The imperfection is omnibearing and mainly reflected in the following aspects: the liquidation method that liquidation category provide can't fit with the requirement of high efficiency, at the same time it is essentially against the legal principle of liquidation and the objective of our country political and economical remove;The regulations for beginning and ending a liquidation procedure leaves a lot for improvement and against the principle of equality and justice; The Liquidator System is incomplete; the whole procedure of liquidation is lack of supervision.and the liquidation legal liabity system is dadly incomplete,etc. This thesis maintains that, the basis of improving China's corporation liquidation legal system.is to follow the value of profecting the creditor's interests, and to definite corporation liquidation which liquidate by itself is a thing different from bankrupt.So it must be strengthened the liquidation proceture's choiceable and efficience,shaped the liquidator system anew,strengthened the supervision in the liquidation course ,stricted the liquidation liability.
