The liquidation of non-bankruptcy, as a personality in company law during the last period, is undertaking the important tasks such as keeping the benefit balance among all advantage parties, avoiding the bothers caused by advantage odds, and ensuring the stabilization of economic order. Comparing with the states with developed legal system, the company liquidation of China still go in the starting period, many problems of theory and practice are waiting to be settled. At the same time, many catholicity problems in company liquidation disturbing the courts also make it more important to perfect further the legal system of company liquidation in China.This dissertation is going to analysis the legal characters and the value of the legal system from the concept of non-bankrupt liquidation.
