The small State-owned Enterprises are very popular around China, and they have been a very important part of the national economy. As the result of continuous economic reforming and opening, the transform of State-owned Enterprises is a crucial problem for our government. But the small State-owned Enterprises have been leaved along for some period, because as an individual, it seems to be too small to be seen and taken emphasis on. From another point of view, they are so important since the amount of small State-owned Enterprises count up to 82 percent of the total in our country. Due to the conflicts from different aspects, although reform of small State-owned Enterprises in coastal region seems to have some positive results, the other provinces remain unchanged.This article provides a comprehensive theoretical and practical analysis of the problems towards small State-owned Enterprises in four aspects. First of all, it gives a reasonable answer for why the small SOEs have developed so slowly and difficultly, and carries out a discussion over reform of property right. Secondly, it do some research on the mechanism of stimulation and restriction over small SOEs, and with the market demand , the benefit or fault from this kind of mechanism, which model should the small SOEs make their choices on. Thirdly, it articulates the necessity of the management reform inside the small SOEs, that is the meanings and methods of the concept of marketing, technical renovation and financial management reform, and gives out the function of the government of the SOEs reforming. Fourthly, it takes emphasis on how the government should take an active role on the small SOEs reforms. And finally it provides a case study, combining with the problems mentioned above, to make the facts more clearly.
