It takes more and more important role for managerial behavior to determine whether the firm is successful or not. In the market economy country, about the managerial behavior incentives, there have been much discussion in theory and substantial result in practice. In our country, after twenty years more opening-up and reform, it has got the explicit guidance and experience in practice to motivate the employee in the state-own firm, but it is stilldeficiency to research on incentives about managerial behavior of the state-own firm, which has become the key to restrict the further reformation to state-own firm.This paper investigates the existing state of incentives for executives in the state-own firm in our country and the practices in market system in the developed country, using the modern economic theory for reference and based on the fact of our country and state-own firm, to discusses the target, content and form about the incentives mechanism for executive in the state-own firm in the times of economic system transform. It gives a pay scheme, which relates to the relative manage achievement, to the operator of state-own firm that is mainly in pursuit of the benefit. It makes suggestion that set up the interior restriction to thekey place and exterior monitor that is seasoned with market system.
