| E-commerce is a kind of new commercial model, whose rise and rapid development brings infinite commercial chance and unprecedented challenge. Electronic contract plays the core role in E-commerce, and the research on the legal system of electronic contract is the most important part of the legislative research on E-commerce. Chapter one sets forth the general problems of electronic contract recapitulatively. Chapter Three and Chapter four do deep research respectively on the conclusion of eletronic contract and the electronic contract in evidence law, which include eletronic meaning expression, electroic offer and promise, electronic agent, electronic signature, electroic certification, and eletronic evidence, ect.Facing with the intense impact of E-commerce to traditional law, the international organizations and countries are busy making all kinds of legal regulations on E-commerce, in which the electronic contract law is most extensive. Chapter Two makes detailed introduction to the developing process of electronic contract law and the representative electronic contract laws of internationl organizations and countries, which gives valueble reference to the legislative research on electronic contract of our country.Based on the research on the legal system of electronic contract and the reference of the international electronic contract legislations, Chapter Five gives some advice on the electronic contract legislation of our country. As the author thinks, the existing electronic contract laws of our country are so little and have so many shortcomings that it is very urgent to accelerate the legislation. In the last part of the thesis, the author sets forth the foundamental model of the electronic contract legislation of our country, which includes the single legislations of new problems and the perfecting of traditional laws as the emphases, at the same time, the establishment of the uniform and formal foundamental law of E-commerce as the macrosapical guidance.
