After the entry to WTO, the reform of state-owned commercial banks of China has come to a key phase as the state-owned enterprises do. In the progress of changing our state-owned banks into real commercial ones, the reform of property right system is the most important. According to various economists' (Marx, Kess, etc.) theories on property right, this paper give detailed analysis on the necessity of the perspicuity of financial industries' property right system, in order to improve the collocating efficiency of financial assets with the decrease of transaction costs in financial transactions. This paper aims at illustrating the distance between our national commercial banks and real commercial ones in accordance with the characteristic of modernenterprises--clear property rights, definite confirmation inrights and duties, taking governor and enterprises apart, scientific management, therefore come to the conclusion of the way to reform state-owned commercial banks: share-holding system. To build up modern enterprises system entails the reform of state-owned commercial banks, which is, bound to affect the former positively. The paper also explores the condition, steps, difficulties and problems to apply share-holding system reform .
