E-commerce, which implements traditional commerce electronically, has provided us a totally new and efficient way to run our business.Different to a traditional transaction, we possibly don't negotiate face to face in E-commerce, but through the computer network. Then some question will be aroused, for example: Is the information possibly known by a third party when transmitted through the network? Is all the information sent by the sender received by the receiver? Is the information modified by others?Certification Authority was founded to solve the questions mentioned above. CA ensures the transaction security through a series of technical methods, which mainly is Digital Certificate. Digital Certificate is the ID card on the computer network. Through validating the digital certificate of the other, we can know that who is he and how is his credit standing.CA plays a very important role in the security assurance of the e-commerce. But at this time of day, China has no national CA legislation, and it is very urgent for China to do that. This article has studied many legal aspects related to CA, and the author hopes that it will be some way helpful and advisable to the CA legislation of China.The article consists 7 chapters. Chapter 1 is forward, the author discovered the research areas and significance of this article. The content chapter 1 includes: CA legislation status of other nations and China, the necessity of a quick CA legislation of China, CA legislation principles and patterns of other nations. Chapter 2 talks about the legal position of CA. In chapter 3, the author discussed questions about CA foundation and termination, which include modes, procedures and conditions in CA foundation. Chapter 4 covers questions about CA administration, which mainly about how to administrate CA and what aspects of CA should be administrated. Chapter 5 is mainly about digital certificate issued by CA, which includes: digital certificate content, issue, publication, suspending, remove and expiration. Chapter 6 talks about civilresponsibilities of CA. In the last chapter, the author gave some proposals to the CA legislation of China and a sample CA law was presented.
