With the reform of our country's state-owned enterprises implemented into the stage of storm fortification, many insider problems were brought into light. Among them, the amplification and improvement of person government structure are the key contents in setting up modern enterprise system, and also the important tasks in deepening the reform of state owned enterprises. This issue has caught attention of enterprise and academic circles, so it is a historical task to study this problem deeply for the practical workers and theoretical researchers. This paper analyses the main problem emerging in the state-controlling company's corporate governance in China that is insider control problem, the relationship between the new parties and the old parties (the new parties: the Committee of Shareholders, the Board of Directors, the Committee of Supervisors; the old parties: the Party committee, the representative committee of workers, the trade union), and the forming mechanism of enterpriser class. On such basis, the main train of thought and measures to perfect the state-controlling company's corporate governance are brought forward. We must try our best to secure a sustained, high-speed and sound development of the state-owned holding company corporate governance of our country. To the corporate governance, the function of new parties must be shaped again, and the old parties must be reformed to coordinate the relationship between them. And the forming mechanism of enterpriser must be perfected so as to bring the enterpriser capability into play. Then the paper comes to a conclusion that the corporate governance may functioneffectively by using measures mentioned above.
