| Executive Stock Option is a system arrangement on the claim right for surplus in modern corporations; it is a right poprieors of a corporation provide to the managers ; with the right, managers can buy a certain amount of shares of the corporation in a certain period.Since 1980,as a motivation method ,ESO was widely applied in corporations in western countries . According to statistics, ESO had already been put into effect by 90% of 500largest corporations in the world . Effectiveness of ESO in modern corporations can be concluded into three points: reducing agency costs .correcting managers' shortsighted mentality ,enhancing cohesive force of the corporation.After probing the practice of ESO is developed countries, the author analyzed some operative problems in ESO practice .These problems include : confirmation of the scope of beneficiary .transformation of future fight endowment, determination of the price of right execution, limitation of share cashing, etc. Then the author analyzed the necessity for introducing the ESO system into our country and discussed the significance of applying ESO in modern corporations. Through probing the CEO plan of some corporations such as ATON, SHANGHAIBELING, the author points out some theoretical political and technological problems which still existed in the present ESO practice in our country . After all, the author analyzed the main problems occurred after experiments of ESO in some corporations in our country and proposed some suggestions on how to apply ESO in our country. These suggestions include ramending and optimizing necessary laws; introducing ESO system positively and prudently through normal experiment and assorted guiding , reforming the system of appointments and removals for the leaders of the state-owned corporations and optimizing the professional manager markets.In the end ,the author analyzed key technology for designing ESO system in state-owned corporations.
