Corporate Governance has been an old subject with long history ever since the company appeared.. Jurists, Politicians and economists began to study it in the late 20th century. In the 1970's, with the expanding power of managers and CEOs, the cases of the company 's combination with bad intentions are increasing, a series of company accident happened. How to improve the construction of corporate interior and exterior governance drew the attention all over the world and it became the study program of international law.The structure of corporate governance ,also called governing structure or supervising structure (in Taiwan and HongKong)is a problem existing ever since the appearance of company. Corporate governance isn't a certain model ,nor can it be constructed or improved by some fixed orders . Legally, the structure of corporate governance is a pre-control system which defines the rights and duties among company's governors in order to realize the self-discipline and keep balance among the governors. In China, through the reform of corporate governance can be traced back to the period when China adopted its reform and opening policy , and it is still developing with the construction of modern company's policy, and the theory study of corporate governance . We haven't got any distinguish achievements in corporate governance reform. The phenomena of "vacant "structure of corporate governance after the reform of companies' system still can be seen everywhere.Nowadays, we are in the critical period of changing the old system into market economic system and carrying out the reform of company. To build up efficient managing system of company and reasonable structure of corporate governance is the key to setting up modern company policy and reconstruction of the structure of Chinese corporate governance faces the general problems with the background of market economic. It can't avoid the special conflicts brought by the old system. With the ever-increasing trend of the unite of world economic, the construction of Chinese market economic will be close to international general methods,. The structure of corporate governance will be similar to that of the whole world. This thesis mainly focuses on the construction of corporate governance with Chinese characteristics. It analyzed modern structure of corporate governance in the world, point out the shortcoming of the structure of Chinese corporate governance and the misunderstanding of law,hoping to perfect the structure of corporate governance of China.There are dour parts in this thesis. The first part is introduction ,explaining the good points and reality aims of studying the structure of corporate governance. It also tells us the background and aims of writing this thesis. The second parts deals with the various models of corporate governance in the world now. It studies the things we can learn to improve our structure by comparison. The third part analyzes the structure of Chinese corporate governance nowadays, including its models and choice . The last part lists all the disadvantages of the structure of Chinese corporate governance and gives some advice and suggestions about improving our structure in general. Finally the thesis summarizes the main ideas and draws some conclusions.
