In modern society, corporation is one of the most important economic organizations especially the larger corporation (eg.the joint-stock company).So if all the corporation of one country works well and is full of energy, then the country's economy will be thriving and prosperous. In other way round, the country's economy likely will be stagnant. And therefore, more and more society problems will be sharpened. In one word, if a corporation (esp. a larger company) which is getting into financial crisis and just simply be kicked out of the market will bring serious problems like the huge property loss, unemployment, concatenate bankruptcy and so on. So it is necessary to differentiate trouble companies in order to provide salvations.A lot of measures can be used to save the trouble but valuable companies, however two instruments are mainly be used in the law system, that is amicable settlement and corporate reorganization under the bankruptcy law. But relative to corporate reorganization, amicable settlement under the bankruptcy law to save the trouble but valuable companies becomes more and more unaccommodated. Therefore the corporate reorganization has played an important role to save the trouble but valuable companies. And so the Studies on Corporate Reorganization System are very important on building our country's Corporate Reorganization System because it is null in our law field. Due to the complexity of the studies on this problem, the author has recognized that the Plan of Reorganization Under Corporate Reorganization System is the core of Corporate Reorganization System. So the studies on the Plan of Reorganization Under Corporate Reorganization System will be very useful to build the Corporate Reorganization in China.
