With the development of economic globalization, the global process of R&D of MNC is pushed and becomes one of the most active fields in the MNC's theory. Peking and Shanghai are becoming the hotspot of R&D investment. Based on the practical investigation, the location distribution and differential characteristics of foreign R&D centers of Shanghai is studied in the article by G1S and other means. Then the author analyze the reasons of location differentiation of foreign R&D centers, and summarize the spatial effects that foreign R&D centers results in. In the end, some constructive suggestions on the construction of international R&D center are put forward.The article has seven parts as follows:In the first chapter of the article, the research aim, methods and significance, arc introduced, and the progress of primary theories about R&D field at home and abroad is summed up. The second part discusses the advantages that Shanghai city has, such as booming outer-oriented economy, good industry foundation, quantities of R&D resources, good policies etc. In chapter three, the author summarize the present condition and development characteristics of foreign R&D centers. In chapter four, the author analyze the location characteristics of Shanghai's foreign R&D centers firstly, and then sum up the reasons which causes the location characteristics, finally divide the agglomeration condition into three type. The fifth chapter, analyze the spatial effects that the foreign R&D center entering to Shanghai conduce. In chapter six, the conditions of foreign R&D center including management characteristic, investment motivation, and location selection, are summarized through examples. The last chapter sums up the strategy status as well as suggestions taken in the future. Finally the author advances something of the article waiting for being perfect and something deserving for further research.
