Finance plays a more and more important role in modern economy. During the process financial innovations tend to maximize individuals' profit. The development of new financial products based on new technology and new theory not only surmounted the financial difficulties but also broke down the former balance of finance background. Asset-backed securitization belongs to such a kind of financial innovation .It has changed the traditional financing mode between banks and enterprises and expanded commercial banks' business.Assets-backed securitization will incite China 's financial market and improve financial efficiency due to its intrinsic structural advantage. Analyzing the development of Asset-backed securitization and the economical conditions of our country, we'd better begin our practice of Assets- securitization from housing mortgage loan of commercial banks. Housing mortgage securitization is an entrance to the process of China's banks reconstruction and financial innovation. It is helpful to dredge canal of housing finance, to improve liquidity and increase adequacy for domestic banks, to deepen financial markets and activate financial innovation. Mortgage securitization is an objective demand of the development of housing finance. At the same time, it is the commercial banks' inevitable choice under the circumstance of new economy and finance.At present, in short of the support of mature economic situation and suitable legislative and technological base, we can't step off the deep end on the path of mortgage securitization , but it is necessary and practical to carry it out. We must create all kinds of conditions to quicken the practical process of securitization.Housing mortgage securitization is a complicated financial innovation. The successful experiences and mechanism overseas can only provide us a structure for reference. Whether it is practical andefficient or not, it will be determined by the specific conditions of economy and institution in our country.This thesis starts from objective conditions of China's economy, legislation, institution, technology, as well as referring to research achievement of experienced professional and theoretical workers, then systematically analyzes three fundamental problems (settlement of SPV, build-up of mortgage loan pool, design of MBS). Finally it analyzes the operational mechanism and overall process of mortgage securitization in China.
