Corporate governance is the core of modernized enterprises system. Incentive issue is indispensable actor to study and perfect corporate governance .The stock option is one of financial derivative security. It is a financial invention. It also is the one of the most common methods for the incentive issue. This paper described the process of development, design, implement through the origination, background, external situation and internal characteristic of stock option. It studied the essential factors of stock option ,such as exercising price, exercising period, etc. According to the actual situation of China, the author have designed stock option plans for the CC communication Ltd. The author has discovered some problems in the process of design and implement. This paper has had some good advices for the plan and hope to provides helpful guidelines for the coming research.
