Study On Independent Directors Of Listed Corporation

China's economy and financial reform and securities business' sustainable development depend on Chinese listed companies' governance. This article firstly introduces the birth and growth of the independent director system and the practice in foreign countries, analyses the meaning of the independent director system to improve our listed corporation. Next, This article compares some important managing construction of several countries, and do some research on the connection between managing construction of listed corporations and the independent director system. Then, we analyze the possibility and relate actors of the independent director system, get the result that the independent director system is helpful to perfect our structure of listed corporations, and we choose the date of listed corporations in engineering industry and separate them into two kinds of corporations to do some analysis by recession model. At the same time, we study from developed countries and give some suggestions on how to prove our listed corporation's independent director system. The suggestions include: clear of the function of the independent director system; strengthen the qualification of the independent director; regulate the selection and assignment of the independent director; regulate the rights and duty of the independent directors; perfect the promoting and restricting of independent director.
