On Conclusion Of Electronic Contract

With the integration and development of Internet technology and commercial activities, a kind of special transaction form-E-Commerce, which appeared in European countries, US and some other developed countries in 1990's. As a new commercial mechanism under economy integration, E-Commerce has been appreciated by some countries and international societies because of the characteristics of high efficiency, without limitation of border and time. The application of E-Commerce has became a new tendency and brought about new conception in international business.The conclusion of E-Commerce is one of the most important parts in the course of making a contract, which determines the efficiency and the performance of the contract etc. In order to promote the development of the E-Commerce, the United Nation Commission on International Trade Law adopted UNCITRAL Model Law on Electronic Commerce and UNCITRAL Model Law on Electronic Signatures. Those will further the progressive harmonization and unification of the law of international trade.As a member of the WTO, the development of Chinese E-Commerce still falls behind the Western developed countries'. If we want to develop E-Commerce, we should, first and foremost, confirm the efficiency of E-Commerce on the law. Though the Contract Law of PRC has stipulated something concerning electronic contract, it 's still too obscure and can not adopt to the development of E-Commerce. Therefore, it is important for us to enact a law concerning electronic contract. In this dissertation, I shall discuss some legal issues on the conclusion of electronic contract, for example, general issues on the conclusion of electronic contract, the conclusion of the electronic contract and other issues on the conclusion of the electronic contract, so as to help people to use and know it better.
