International Limited Liability Partnership Scheme And Its Implication

Based on the fundamental of civil law, this masterate dissertation concerns the Limited Liability Partnership (hereinafter referred to as "LLP") scheme by using various methodologies including comparison, analysis, induction, and historical science. It makes an in-depth and systematic study on the LLP issue and provides a set of integrated suggestions in accordance with Chinese particularity for legislator's consideration.The following questions are explored and argued in the thesis: 1. What are the historical background & genesis of LLP and its current legislative situation? 2. What's the difference between the LLP and other corporation forms, and what's the features? 3. Does the LLP exist in China? 4. Could the LLP apply in China and how to properly set up the LLP system in China? The thesis consists of four parts other than introduction and conclusion. By analyzing cases and precedents, the introduction sets forth the lack of LLP in China and the needs of the study of LLP issue. In the first part examines the genesis and evolution of LLP and its present legislation in U.K and U.S.A,In the second part outlines the comparison between the LLP and other three corporation forms .In the third part argues the characteristics of LLP, which are the scope of the liability of partners and the protection system of interest of the creditors. In the final part the possibility and suggestions of establishing LLP in China are focused on. It analyzes the significance of LLP in China and the difficulties of establishing LLP in China, and provides feasible legislative suggestions and perspectives as the conclusion of the thesis.
