To establish a benign corporate governance is an important measure for the smooth development of an enterprise in China. Form the 1990s', having been influenced by the ecnomic lobalization. More and more countries around the world have attached importance to corporate governance. China has entered into WTO. So to perfect corporate governance has the magnitude meaning for us to boost the ability of chanlenge in the world.But China is on the way of economic transformation now. As the background is very complex,we have to consider the restriction of Chinese fact during the time of establishing corporate governance. So the first step is to thoroughly analyze the legal issues of corporate governance before we discuss how to establish this system.The author thinks that the key to perfect corporate governance is to efficiently run the directorate. How to efficiently run the directorate is one side of the establishment of corporate governance. Besides, the author discuss the relation between the other parts of the corporation. After that, the author draws the conclusion of this article.
