A Comparative Law Study On The Reform And Improvement Of The Corporate Governance Structure

Corporate governance is an important issue arousing many mainstream scholars’ inspiration and intelligence of all over the world. Corporate governance is a controversial conception with by many perspectives and layers. Different ownership structures determine different kinds of corporate governance. How to choose a feasible style of corporate governance is an urgent mission. Our present reform of the corporate governance structure must find a solution to deal with. We made a study based on the comparative studies of the different model of corporate governance of in the U.K, U.S.A and Germany. The researcher appraises the current situation and problems of China’s corporate governance structure, and legislative proposals to improve corporate governance in China.This paper is divided into five parts. In Chapter One, these studies mainly discuss the concept of corporate governance and its theoretical bases, and describes several theoretical basis and background. and also have a brief introduction about the influencing factors concerning the corporate governance as well. In Chapter Two. there is a research based on the analysis and comparative study of the corporate governance styles in the U.K, U.S.A and Germany. These studies pointed out the background and context of their reform. In Chapter Three, these studies analyze the corporate governance structure on the basis of the different equity of the Company and point out their characteristics. In Chapter Four, these studies introduce the problems on our corporate governance structure and the main problems. Chapter Five is the conclusion. These studies propose that the legislative proposals to improve our corporate governance structure.
