What this thesis studied is a merger case, the mergeing enterprise HaiYe Company is a large—scale private enterprise group whose core business is to develop water and electricity, the goal-enterprise is a state—owned water and electricity designing institute. This is a merger that both sides can realize " two-win ", but in fact, it is full of twists and hardship. It take 9 months for HaiYe company to finish the merger. Through the study on this case, it showed the contradiction and conflict because of the interests redistribution among persons who are correlated with of the interests, discussed the method to dissolve the conflict in merger; further analysed the influence on merger, since there are so many differences such as mechanism, idea, corporate culture etc between state—owned enterprise and the private enterprise; proposed the significance of merging planning and merging survey on goal-enterprises. This thesis has used some western merger theories in the course of study on this case, closely combined the merger reality of HaiYe company, took the research approach that the theory combines with practice, and carried on the discussion on the theory and practice in merging. By discussing the operating way in the course of merging of HaiYe company, This case analyse its success, failure gain and loss of the merging enterprise during the merger process, I have drawn four pieces of elicitation about the enterprise nowadays in China: First, pay attention to the support of the local government and relevant department; Second, deal carefully with the relation of the persons who are correlated with of the interests; Third, pay attention to the investigation of merger, and it is one of the important ways to evade the risk and reduce the cost of merger; Fourth, attach much importance to the integration of goal enterprises, especially the integration of the human resources This case is an epitome that a private enterprise which is developing constantly merges a state-owned enterprise. This can do a great deal of good to the private enterprise which is merging now or going to merging in reality.
