A Study On Problems And Countermeasures Of The Independent Director System Of The Listed Corporations In China

China's economy and financial reform and securities business's sustainable development depend on Chinese listed corporation's governance. Because of the history reasons, during the course of transforming economic system and corporation system, there appear some new problems such as unsuitable stork structure, lack of the stork influence, and the lack of the owner and the serious problems of inner controlling in our listed corporations. To enhance the function of the boards of the listed corporations, CSRC issued the law to enlist independent directors. But, after several years, many problems have occurred in the application of the independent director system. A lot of research and practical investigation are needed to popularize the independent director system in our country. Therefore the paper choose "a study on problems and countermeasures of the independent director system of the listed corporations in china" as his research issue and puts forward some suggestions for quickly establishing and improving the independent director system suitable for china's situation.This paper consists of five Chapters, the focuses of which are as follows.Chapter 1 has introduced the research of the independent director system at home and abroad, and the meaning of the research in this text, and has defined the independent director.Chapter 2, we have analyzed the problems of the independent director system and its outside running environment.Chapter 3, we have analyzed about the relation between the independent director system and listed corporations performance, and have analyzed the independent director system validity in our country.Chapter 4 has put forward some countermeasures to perfecting the independent director system of listed corporations in our country.
