The Problem Research Of Private Enterprise's Merging SOEs

The economy of our country is in difficult transition at present. In various kind of ownership economic sectors, each there are advantages in the development of the private enterprise and state-owned enterprise. Under the present situation, the state-owned enterprise faces more difficulty relatively, but the private enterprise is more flexible because of the system , the advantage is comparatively obvious. SOE reform , industrial structure adjustment have offered the unprecedented opportunity for the development of the enterprise, enterprise merging because of their low cost characteristics become the best way to solve the present predicament of state-owned enterprise.Enterprise merging has gone through very long development course worldwide, but the private enterprise's merging the state-owned enterprise appearing at home is a subject for research with characteristic of Chinese. This paper introduces basic theories of enterprise merging at first, and then analyses the current development of state-owned enterprise and private enterprise, thus defines the necessity and feasibility that the private enterprise merges the state-owned enterprise. In this complicated system engineering, there are series of problems urgently to be solved. On the basis of theoretical research of the present academia, I put forward my own views and suggestions, including the choosing method of the target enterprise, the parameter selection and the loss of the state-owned assets. Besides, the value assessment of the target enterprise is analysed.In addition, in chapter six of this paper, I have analysed more successful case of the state-owned enterprise acquired by private enterprise appearing at home at present in detail. The methods of treating different problems are worth consideration and drawing lessons. This case also has strengthened the realistic feasibility of the subject and proved it has very strong practical meanings that the private enterprise participates in state-owned enterprise's merging under the current condition. In summary, supported by national policies and regulations, it is capable and hopeful for the private enterprise to become an important strength of present economic development.
