According to development history of the transnational big enterprises, they mostly grew up through the merger and acquisition (M&A) of a certain degree and a certain way. Through M&A to realize enterprise expansion, thus to gain the top station in the market, has become a successful inevitable choice of many enterprises. However, successful cases of M&A are less than that we expect, considering its causes, besides that there is high risk in enterprise M&A behavior itself, the key reason lies in the success or failure of integration work of M&A.Enterprise M&A has already entered strategic M&A period, the factor of choosing technology plays a more and more important role in enterprise M&A, The author analyzed the technology integration work of enterprise M&A in this thesis, trying to offer some references for M&A behavior of enterprises in theory and practice.After summarizing the relevant theory of M&A and M&A integration, the author have dissertated the meaning of enterprise's technology integration, technology appraisement, technology choosing, technology integration course, technical staff integration and the performance appraisal of technology integration in this thesis.Technology integration is a such course in which enterprises choose technologies of goal enterprises that they need, and make them integrate with the technologies that they have owned through appraising the technologies of the goal enterprises according to the target of M&A. Through technology integration, the enterprises can obtain technology element of goal enterprises effectively, produce the technological cooperative effect, improve the research and development ability of enterprises and manufacturing capacity of production fast. Successful technology integration will cause improvement of enterprises' technological ability, thus improves the products innovation ability of enterprises, and moves forward customization on a large scale, in order to improve the market competitive power of enterprises, thus improves the benefits of enterprises finally.The appraisement and choosing of technology is the difficult point of technology integration work, a slight error can lead to the failure of the whole integration work. In order to appraise the technologies of goal enterprises, the author transforms the technology into four key elements: Technical staff, Equipment, Technological knowledge, Technological management (called four key elements of technology) in this thesis, and has set up a set of technological appraisement index systems and technology appraisement model, through calculating every value of index, considering the match of technologies of enterprises and goal enterprises synthetically, enterprises determine to integrate, sell or give up the technologies of goal enterprises.The author has proposed the modes and processes of technology integration in this thesis. The modes of technology integration include: Technology importing mode, Technology merging mode, Technology planting mode, Technology concatenating mode, Technology independent mode. The processes include: Technology decompounding, Comparative analysis of key elements of technology, Making technology integration scheme, Appraising technology integration scheme,Implementing technology integration scheme. And have described the technical staff integration in detailFinally, the author puts forward a half-quantitative method of the performance appraisal of technology integration after M&A. Through calculating synthetically, appraising the effect of technology integration, try hard to offer the reference and guidance to the technology integration and performance appraisal after integration for enterprises.
