With fast development of economy and the adjustment of industrial structure, more and more land is changed into farmland into non-farmland by expropriation. At present, the expropriation derived from the planned economy times plays a disadvantageous influence on the stability and development of the rural economy. The main reason is the collective land ownership. As the law prescribes rural land belongs to the rural collective economy organizes, this kind of land ownership during the execution exists a series of the problems, for example, the illegibility of ownership subject, the non- integrity of Collective property right of rural land, etc. These have bad effect on the normal progress of land expropriation. The fanners are harmed too, at the same time.To the above questions, this dissertation makes the analysis as follows along two main lines: First is the history variance in the institution of the land expropriation and the collective property right of rural land, and the drawback of the institutional arrangement and environment. The other is the allotment of the land income, and the realization of the fair and efficient land expropriate. This dissertation tries to make use of the relevant theories of modern pubic management and neo-institutional economics in the realm of the collective land ownership, to inquiry the main reasons resulting in these problems by the investigation of actual expropriated land, then to explore how to set up the new-style institution of collective property right of rural land, for realizing the efficiency of land resources, and protecting the farmers' interests.By the research of the substantial evidence and the norm studies, this dissertation draws the conclusions as follow:l.The institutional drawbacks in the collective property right of rural land directly cause theambiguity of the land property right, and inspire the farmers a lack of power to protect their rights;2. The most important factors that affect the efficiency of the land allotment in income are the current Collective property right of rural land arrangement.3.The land income allotment is the result that the various groups gaming in the current collective property right of rural land arrangement. At the same time, the farmer is an infirm community without any advantages.Policy suggestion:1 .It is Collective Property Right of Rural Land according with situation of our country that perfecting the collective land ownership.2.It would establish an new land property right system, make the microcosmic property right relation, which regards family as the core, establish farmland cooperation-stock company system, enhance the power of the farmers to protect their interests.3.In order to protect the interests of the state and farmer, to maintain the social stability and economic development, it would constitute the law of the land expropriation; establish the norm of the public interests aimed. It would arrange the resources with the price mechanism. To the method of calculation to the compensation of the land expropriation, it would take the way of shadow-price.
