As the world is globalized, I think, the question whether the country is socialistic or capitalistic is not so important. It might be an old-fashioned argument. We have to admit globalization is penetrating our country. It is quite obvious in the financial field and stock market. A country's financial and social condition affects other country's stock markets that have apparently no relation with. But then, a country's economic and social system also affects the country's stock market.Cheng SiWei has said that a stock market is its country's economic weather barometer. But Chinese economic barometer seems to be no use. What does it mean? What is it that have impact on Chinese stock market? After the liberation, during about 56 years, China has experienced the great change from planned economy to Market Economy under Socialism. In this process, national companies have always been ranked as central position. Chinese stock market is not full-grown market, but was set up for the reformation of national companies, that is by-product of the stock reformation of national companies. So, there is a close relation between Chinese stock market and stock reformation of national companies. In this thesis, firstly, I will show Chinese stock market's position in stock reformation of national companies in consideration of Chinese stock market history and existing condition. Secondly, I will present some problems of stock market and corporate governance that is gave by Chinese stock right constitution. Then, I will study the solution of problems and recent legislation. Lastly, let me express some opinions for the development of Chinese stock market and Chinese national companies.
