The Research Of M&a Related Mechanism Of Employees' Safeguard

Following the development of China's market economic, there are more and more M&A transactions, which include not only the domestic transactions but also the transactions executed by multi-national corporations. Meanwhile, there also appear more and more problems, of which, the most important one is the disputes rising between the employers and employees. Based on his years of practice, the author begins with the concept of'employees join in corporate governance', and analyzes the importance of the protection of the employees in the M&A transactions. By comparing different methods used in different form of transactions on protecting the employees, discussing the legal basis of different methods, and also by comparing the relevant regulations in different countries, the author finally comes to the conclusion of stipulating a regulation on the protection of employees in the M&A transactions—Regulation On Safeguard Mechanism In The M&A Transactions. The author also gives us an overview of the aspects which should be included in the aforesaid regulation, so as to help to set up a national standard of employees'treatment in the M&A transactions.
