Research On Corporate Governance From The Perspective Of Creditors Participation

The traditional corporate governance concept pursues shareholders supremacists ,but with the knowledge economy and the advent of the information age ,the company stakeholders' status and role has changed ,stakeholder theory began to walk into people's perspective ,and participation in the company management for creditors provides theoretical basis.All over the world at present in corporate governance of creditors legislation and practice each are not identical.This paper argues that mode of these countries can be divided into active participation in mode and the passive participation mode. Active participation in mode is that creditors participate itself or supervise the day-to-day running of company activities;The passive participation in mode is not active supervision company creditors operational status or the creditors may supervise company activities through the relevant system design .However,in our country, lack of creditors participating in the company management of system is obvious ,the protection of creditors from corporate governance structure of the external creditors to participate in the company management regulations ,relevant regulations in-depth,and not to the creditor provide effective way to participate in the company management ,which results that the creditor can't directly involved in corporate governance .Let the creditors directly into the corporate governance structure ,entering the board of supervisors ensure exercise supervision ,which,are both conducive to monitor internal company managers ,and for the benefit of creditors protection.
