Research On Legal Regulation Of International Equity Financing

In the trend of financial globalization, the way of international equity finance has become a new growth point for developing countries to attract foreign investment. It is still in the initial stage of internationalization in China's securities market, thus there are many legal and regulatory system problems in international equity financing. This paper aims to combing the basic theory of legal supervision, the world's major countries compared the legal practice, and then to the legal supervision of the audit system, information disclosure system and the regulatory comprehensive analysis of institutional aspects, the equity financing of the establishment of the international regulatory system to provide legal advice and useful references, and promote China's international long-term stable development of equity financing.In this paper, the analysis of legal regulation of international equity financing in five areas:First, define the concept of the legal regulation of international equity financing, and analyze the necessity, appropriate, regulatory objectives and regulatory principles from both the angel of economics and jurisprudence of international equity finance regulation, is the theoretical basis of other chapters. Then, it is analyzing the regulatory mechanisms from the national law and international legal aspects respectively. In the domestic level, it is focus on the major countries in the process of financing state-owned shares cross-listed monitoring system, stock issuance and listing of the regulatory system and financing the legal regulation of corporate conduct, and analyzing the international risk arising from equity financing and regulatory systems and existing Problems. At the international level, it discusses the development of international regulatory cooperation uniform trend, through the research of information-sharing mechanisms, international common standards and regulatory cooperation mechanisms. The next stage is the study of international equity financing in the legal and regulatory conflicts, both from domestic and international conflict of laws proposed coordination mechanism. And it puts forward corresponding countermeasures for the problem. Finally, it points out the defects and problems of the regulatory system in the international equity financing in China, and it made comprehensive proposals and ideas according to actual situation in China.
