The Study On The Legal Issues About The Company Liquidation Obligor

The legal system of liquidation obligor has become an important issue of fields . for a long time ,Because lake of the Social credit ,legal system of company law is not perfected ,and so on. After the company dissolution, more stakeholders did not organize the liquidation or organized the liquidation by break the law. After all, above all of the behaviors were infringe upon the whose lawfull interests of company and relevant stakeholders.However, in our country ,the conception of the liquidation has not been legislated. so, we have not a criterion.The people who break the law always get out of the law punishment. So this thesis select the liquidation obligor for this study. The article composes of four parts as below :The first part mainly discusse the definition of liquidation obligor. Since the conception produced , Many Scholars have various kinds about the legislation ,so the conception very fuzzy. This part, from a case,we know about the conception of liquidation obligor`s origin, defining to the outland method and making a distinction between the liquidation and the related regulations. Strive to clear the conception of the liquidation obligor.The second part is mainly aimed at clearing agent legislation `s legal value ,do a thorough analysis, From the interests of all parties , realizes the balance of fair value, which makes the discussion bave more understand.The third part is mainly discussed the obligation of the liquidation, which obligations did the liquidation obligors have ? The scholars have different versions , we through the classification of obligations about liquidation, learned and summarized the theories , had clear ed the liquidation obligations.The fourth part mainly discusses the responsibility of the liquidation obligor, according to the legal liability liquidation 's time sequence after the company dissolution , if the liquidation obligor have illegal behaviours, shall bear corresponding law responsibility.The fifth part is mainly provide many specific Measures ,according to the above four parts theories, and the existing legislation resources and the social resources in our country, and then put forward to the specific liquidation system designs and several paths to repair the system of liquidation obligor .The purpose of this paper is to let the company safety retreat the market, and then maintaining economic orderly operation, achieve finally social justice.
