The Position And Function Of Human Capital Property Rights In Corporate Governance

As a kind of institution arrangement, corporate governance has many problems since it came into being. The state-owned enterprises of our country after their reform of corporation still involve a series of problems in corporate governance such as insider control and others. The traditional explanation mainly seeks the cause and takes measures in terms of material capital and its property rights, therefore hasn't completely solved such problems as low efficiency of governance. The key lies in the fact that the traditional analysis has neglected the important cause of human capital and its property rights and didn't stick out the position and function of human capital property rights in corporate governance. Meanwhile, with the improvement of the function and position of human capital and the deepening of the understanding of the characteristics of its property rights, human capital property rights should be in the core position and play an increasingly important role in corporate governance. This embodies the significance and emphasis of this thesis.This thesis is mainly divided into three points besides the preface and conclusion.The first part analyzes the concept and picture of corporate governance on the basis of sketching the origin of it and its theoretical foundation, then analyzes again the problems of corporate governance of state-owned enterprises in our country and their causes, thus bringing forth the critical cause—human capital property rights, which has long been neglected.The second part is the kernel of this paper, analyzing majorly the position of human capital property rights and its functioning mode in corporate governance.
