Study On The Current Trend And The Related Law Of The Cross-border Merger & Acquisition

In the recent decades, the global economic integration has presented the trend of keeping deepening, and international community have made a great effort to create a wide freedom of international trade and a convenient circumstance of international investment. One of the examples on it, especially in China, is the cross-border merger and acquisition activities. After it enters the WTO, China has seen a continual increase in merger and acquisition activities, which are promoted by the rapid grown economy and now has become main way of foreign direct investment. As a result, China leads the Asia-Pacific areas in the merger and acquisition activities when the whole Asia enjoys a steady increase in it. It is essential for China to build up a complete system of law and rules on cross-border merger and acquisition, so as to protect national industry and to prevent the loss of national assets as well as to cut down investment barriers according to WTO rules.This paper investigates in details into legal issues concerning the cross-border merger and acquisition in China. At the same time, there is a preliminary discussion on current trend, perspectives of the cross-border merger and acquisition in China and the experiences of the developed countries. Finally, some suggestions are brought forward benefit to legislators and policy-makers. Significantly, it emphasizes on the remedies for the defect of legislation and regulations.
