The globalization of society and economics grows rapidly nowadays. Cross-border mergers and acquisitions is an increasingly popular way of directinternational investment. Generally speaking, the parties involved in a cross-bordermerger and acquisition are the investing enterprise, the target enterprise and the hostcountry. Through cross-border mergers and acquisitions, the way of internationalinvestment, investing enterprises can gain target foreign markets in a more efficientand effective way, and earn great profits at the same time. In the view of targetenterprises in host countries, their production technology and core competenceleverage can be upgraded. However, together with the positive effect, the negativeeffect, monopoly, inevitably follows.Most countries have enacted corresponding laws and regulations regarding tothis problem. Anti-Monopoly Law of the People’s Republic of China came intoeffect in2008.It is regarded as the most principal law to deal with monopoly issues,including but not limited to cross-border mergers and acquisitions, in China.However, either from the perspective of legislation, or the perspective of execution,there are a lot of aspects required for improvement.Chapter One introduces the concept of antitrust law regulations on cross-border mergers and acquisitions. The connotation, the comprehensive effect, thebasic principle and value of cross-border mergers and acquisitions are also includedin Chapter One. Chapter Two analyzes laws and regulations in the U.S., Germanyand Japan regarding to antitrust. The last two chapters analyze the existing problemregarding to antimonopoly issues on cross-border mergers and acquisitions in China.
