The Enron failure is the beginning of new corporation governancereform, within which the excess executive compensation is one focus. The U.S.A. and the European countries set up new rules to strictly regulate executive compensation issue. Our country is on the road of corporation governance structure reform, and separated from the western failure. But others' reform is sure to do good to us. Considering the civil companies, securities market and law, this article is to contrastively study the legal system of executive compensation in China and foreign countries, use others' good experience for reference and build up our suitable executive compensation system.In this article, I study three parts of executive compensation legal system, and present my own suggestions. There are three structures of the whole with almost 40,000 characters.In part one, I summarize the executive compensation problem and executive compensation legal system. I briefly introduce the executive compensation system and find out what's the cause of the problem. Last, I show the constitutions of executive compensation legal system.In part two, I study the constitutions of executive compensation legal system. They are Compensation Information Disclosure, Compensation Committee and Shareholder Monitoring. I expound the comparative law and practice in the U.S.A, the EU and our country. There are three chapters totally of this part.In part three, I make my own suggestions to improve our executive compensation legal system.
