Cooperative finance system is an important kind of cooperative economic system, and it has 150 years history. Rural credit cooperative in china (RCCC) makes a great progress since the new china's foundation ,and "one town, one credit cooperative" system has been realized in most of rural areas since 1956. RCCC ,as one of the three rural main cooperative organizations ,play an indispensable role in promoting rural economic development. And the Rural Credit Cooperative plays a major role in loan about agriculture in china.The main topic of the thesis is the law researching about reform for Rccc, which includes the theories of corporate governance. It is impossible to discuss all the topics thoroughly in such a short thesis, so the discussion to them is very rough.The thesis consists of seven chapters except the foreword. It is based on the investigation of the Anqiu rural credit cooperative of Shandong province, aim to find out the transformation of Rccc by researching its property rights, its corporate governance, and so on. In some comparative developed areas, the rural credit cooperative is becoming an interest group, separated from state commercial bank and farmers themselves. But is also has some problem: first, rural credit cooperative is sponsored by government and does not operate independently by shareholder; next,the so-called democratic management is not carried out, representation meeting, executive council, board of supervisors ,can't play its role; finally, its corporate governance can't put into practice. The cooperative is controlled by the close internal and untied RCCC, and the risk that the policy-makes may make some conclusions unfavorable to credit cooperative and its members, exists. Based on it, the thesis is to establish framework of the rural credit cooperative in developed areas, i.e to found the interior management structure of "powers are separated, and powers are curbed" with each other to solve the problems existing in the present credit cooperative and to change it into a real community-service financial institution.At last, the thesis gives some advices on legislation on credit cooperative and introduces the regulation of other countries in such aspects as encountering the reform of rural credit cooperative.
