The Integration Of Limited Liability Company And Joint Stock Limited Company Established

The paper argue that it is necessary to unify the limited liability company and jointstock limited company established.The first part of this paper analyze the feature of three company form of China andcompare the limited liability company and joint stock limited company established. Theauthor argue that it is in common of limited liability company and joint stock limitedcompany established.The second part investigate the development history of limited liability company andjoint stock limited company established. Then the author get the conclusion that limitedliability company belongs to small joint-stock company.The third part of paper think there exist the problems of wasting of institutionresource and confusion of china’s company form because of the separation of joint stocklimited company established and limited liability company. So it’s necessary to unifyjoint stock limited company established and limited liability company.In the fourth part we know we will unify the whole company form law system if weunify the joint stock limited company established and limited liability company. The basic way is to divide company into open company and close company by the standard whetherit can raise stock openly. Then we should adjust the norm suiting open company and closecompany.
