After being amended, China Company Law has built shareholders contribution system under the principle of assets credit primarily . But some regulations still have a little flaws. The article believed that some rules, such as the legislation principles, the idiographic rules and the mutuality of each other, should be research more. By researching about the subjects in the contribution process, the article considered that we must regard both shareholders, the company and creditors, which are called the three subjects. After analyzing the three subjects'benefits and rights, the article labeled limited shareholders-central principle as the basic principle, under which, the article studied forms and structures of contribution historically, legal comparatively and logically. The article considered that there is never a trend about the forms and structures of contribution all over the world and we can only solve the problems based on our own country situations. Aiming at solving some problems in legislation, such as neglecting company's benefits, unreasonable restricting of shareholders liberty and some random expressions, the article gave some projects and designed some commonly legislation principles about forms of contribution. Also, the article found some flaws in legislation about structures of contribution and gave some solutions while put some legislation principles.The article has five sections:Section One: The Situation And Flaws About Contribution Legislation In China. The article analyzed basic requires of contribution in law and researched history of legislation briefly.
