On The Law System For Protection Of Creditor's Interest In Enterprise Group

Enterprises group, stimulated from and shaped by fierce competition and capitalization in market economy, have played an increasing import role in the realm of economy and society. This new organization of enterprise has brought many legal matters. Our country should make the positive response. The law should standard the parent-subsidiary company's behavior effectively. This thesis focuses on the protection system of enterprise group creditor's benefit.Methods this thesis used are clauses analysis. This thesis starts from the root of problem and give good measures to solve it. The research proceeded from four chapters.Chapter one, briefly introduce the domestic and foreign enterprise group development condition. This section analyzes the holding rights of holding company and the challenge it has brought to the independent legal person system, its basic system and characteristics.Chapter two , discusses creditor's protection from the enterprise group property responsibility. By comparing the related law of foreign country and Taiwan province of China, such as piercing the veil of company ,deep-rock doctrine,the honest duty of holding shareholders and so on.Chapter three, gives some proposals and measures of our country. It contains bankruptcy law special protection and monopoly law aspect rules and regulations.Chapter four, Analyzes objectively China's law in enterprise group, the tendency of the protection system of creditors in enterprise group, and legislation suggestion. At last, some necessary reform.
