Study On Legislative Issues Of Chinese Corporate Group

As the offspring of the market economy and large-scaled socialized production, corporate group is a new organization of enterprise under the condition of the market economy, which is playing a more and more important role in the modern economic life. However, because the legislation on Chinese corporate group is obvious behind of the times, and the relevant law systems are still imperfect, there is lack of clear guidance to and regulation on the formation and development of our country's corporate group, which severely restricts its development in order. Therefore, to counter the existing problems and deficiencies of the current law system concerning our country's corporate group, it is a need to use the legislation experience and the successful practice of some foreign countries for reference, and construct and perfect the law system of our country's corporate group.From the aspect of the brief introduction of corporate group and the history and actuality of our country's corporate group, Part I explores the current law system of our country's corporate group, and points out some existing problems and deficiencies, in order to solve them in the future.From the angle of comparative law, Part II investigates two kinds of legislative mode of corporate group in foreign countries, and selects the appropriate mode for our country which will lay the foundation for the law system of corporate group in our country.Based on the investigation of Part II, Part III evaluates the current law systems and practices concerning the corporate group in the main foreign countries under different legislative mode. The thesis emphatically describes the law practice in Germany and USA, which aims at giving an inspiration and experience references for our country's law system construction.As the conclusion of this thesis, Part IV conceives the frame work of our country's Law of Corporate Group in the future, presents some ideas of legal definition and obligation about the corporate group. At last, it proposes the opinion for establishing relevant law of the corporate group.
