Research On Regulation Constraint Of The Merger & Acquisition Of Transnational Corporation In China

From the middle period of 20 century, the transnational M&As becomes an important side of international economic activities gradually. The international direct investments obtained unprecedented development along with the quickening of the global economic integration proceeds, and the international production system which mainly composed of transnational corporations earned great development of international direct investment. To a great extent, M&As entry mode replaced Greenfield investment and became the most important part of foreign investments. At the same time, every countries and international society have to face with more social and economic problems which aroused by the prosperity of transnational M&As activities. How to induct and regulate M&As investors by the measures, how to promote the further development of international investment, and how to avoid the negative impact of transnational M&As appropriately, is an important problem that must be resolved urgently now.It's hoped that research in this thesis will be helpful in training of Chinese professional executive's competence. And training of Chinese professional executive's competence has meaning in practice.Under this background, my paper studies regulation constraint of transnational M&As in China, consequently summarizes and researches the effective measures our taking in future. The substance and studying course of my paper are by this way, firstly studying and researching the theories of transnational and their M&As by the cases, secondly summing up the history and actuality of transnational M&As in China, eventually making out the new specialty and developing trend of transnational M&As in China. At the same time, showing and explaining regulation constraint of transnational M&As, by the international and domestic views, making out the law problems arose by transnational M&As in China, bring forward correlative suggestion to perfect and renew the laws and policies restricting the activities of transnational M&As in China.
