The executive compensation was beyond control in every country all over the world in recent years ,and every country sets up new rules to control the excess executive compensation ,making it match the company performance . The same situation happened to our country too , but the reason was different from that of foreign countries. This article aims to build up an executive compensation control system that matching our countries by using the advanced experience of foreign countries as reference.This article includes three parts .In part one ,I introduce the compositions of executive compensation and analyze the reasons of excess executive compensation . In part two, I introduce the new developments of foreign countries in restricting the executive compensation. In chapter two ,I analyze the new compensation disclosure system adopted by foreign countries, pointing out detailed information disclosure is the trend of compensation disclosure system. In chapter three, I points out that setting up a remuneration committee subsidiary to the director board is a world trend ,and then analyze the operation of remuneration committee in foreign countries. In chapter four ,I introduce how the shareholders supervise the executive compensation. In chapter five, I introduce the benefits return system newly adopted by U.S and Australia.Based on the study of part two ,in part three I make my own suggestions to perfect executive compensation of our country.
