Revocation Of Resolutions Of Shareholders' Meeting

The resolutions of shareholders'meeting are shareholders'agreement on corporation matters. There maybe flaws in the resolutions, proceeding flaws and content flaws. The suit of revocation is a remedy for these flaws. Article 22 of"Company Law of the People's Republic of China"stipulates the revocation system of resolutions of shareholders'meeting. But, there are no more detail provisions on premise, manner, force and abuse prevention of revocation system of the resolutions, and there are no judicial explanations yet. By analyzing the cases and production of other scholars, the paper focuses on the reasons, manner, and force of the revocation system. Through the preceding researches, the paper wants to embody the system and be helpful to protect the interests of the minority shareholders, and perfects the management structure of the corporation.
