Comparative Studies Of Legal Regulations On Commercial Bank Governance

Along with China completely opens its home market to theforeign capital banks in the end of 2006, the state-ownedcommercial banks of China will confront with severe challenges,and the institutional reforms of them are imperative. Theinternational community and a few countries and regions alltake the commercial bank governing seriously very much. A finegovernance on commercial bank is based on a perfect legal system.Since our country is short of relevant experience, we must drawsome excellent experience form countries and regions with aperfect legal system on commercial bank governance.Concequently, it is necessary to make analysis on the legalsystem of governance of commercial bank in internationalcommunity as well as regions. Based the realities of our countryand combined with experience of other countries and regions,this article aims to provide some references to improve thelegal system of commercial bank governance of our country.Firstly, this article made some concepts such as corporatemanagement structure, company governance and commercial bankcompany governance, and analysed the particularities andsignificance of commercial bank governace and the legal basisof commercial bank governance, which established a basis forthe after arguments.Secondly, this article conduted an analysis on theregulations of commercial bank governnace in international community and related countries and regions. At present, theregulations of commercial bank governnace in internationalcommunity are mainly Enhancing Corporate governance forBanking Organization. which the Basel bank inspectioncommittee promulgates in September, 1999. Germany, USA, Japanand Hong Kong Special Administrative Region of our country andTaiwan area all have some laws of commercial bank governance,among which the laws of USA and Hong Kong are most useful toreference. Therefore, this article maily analysed the legalsystems of commercial bank governance in these two areas.Finally, this article forcused to anlysis on the currentsituation of legal regulations of commercial bank governancein country. Through an analysis on laws and regulations ofcommercial bank governance of our country, the author broughtforward self original views and try to provide references toimprove legal regulations of commercial bank governance ourcountry.
