| Since market economy is companying with the competitive economy, with the development of the competition, the economy centralization is inevitable. There are two ways to make the market economy centralizations: one is by the increasing of the inner of the enterprises. Another is by the expansions of the outer of the enterprises. That is enterprise merger. By the way of merger, enterprises can realize the aim of enlarging producing and management scales. So in order to enlarge their producing scales and get the market competition dominance, the most of them choose enterprise merger.But the concentrated production is likely to produce monopoly and monopolistic enterprises, which may not only manipulate the market and the price. Moreover, it may lead to the stagnation of production and technology. In order to maintain competitiveness, optimizing the allocation of resources to maintain the normal operation of the market mechanism. Many developed countries have already enacted such laws to limit the size of the combined enterprise.Now mergers have been triggered by monopoly, if not controlled, mergers will lead to severe restrictions on the monopoly of competitiveness in the Chinese market, constrain the further development of Chinese enterprises. But the anti-monopoly of our country has not until now appeared, no regulation institution about it, this inevitably will affect our country to establish the good competitive market economy order.In view of this, this thesis is selected title of enterprises merger of anti-monopoly law. I attempt to inquire into how to construct the regulation institution of enterprises merger in our country's anti-monopoly law. Firstly, I define the concept of enterprises merger in anti-monopoly law. Secondly, I study the regulation institution of enterprises merger of U.S.A., Germany, and EC from the view of legislation and justice practice. Then I explain the necessity of issue of anti-monopoly law in our country, and point out that regulation of enterprises merger is regarded as its main legislative orientation clearly. Finally, I give my legislative suggestion on how to construct the regulation institution of enterprises merger in our country. |
