The main purpose of this thesis is, based on the development of the rules and practice in the legal system of Stock-based Incentive of China listed company, to discuss some legal issues arising out of this legal system, mainly on the Stock Option. Apart from Introduction and Conclusion, the whole thesis is divided into four chapters.As the basic part of the thesis, Chapter 1 consists of two parts. The first part covers the definition of the Stock-based Incentive. Part 2 presents an overview of the jurisprudence basis of the Stock-based Incentive.Chapter 2 discusses the foreign Stock-based Incentive system, which leads to the coming compare and further analysis of the Stock-based Incentive system.Chapter 3 and 4 are the principal part of this thesis. Chapter 3 focuses on the macro-analysis of the China Stock-based Incentive, and lists the main defections of the China Stock-based Incentive. Chapter 4 explicates the Baosteel's Stock-based Incentive plan, which is the first one among the enterprises directly under central management. This plan also reflects the legal analysis of this thesis.
