After China's accession to the WTO, many multinational enterprises are interested in China and came pouring in. Recently the people of China pays close attention to the reorganization and transformation of multinational enterprises in China, but the lacking of the perfect foreign capital inspection system in the reorganization and transformation resulted in the poor preparation, and the government can only keep the order of the market by government policies. It influenced the China's opening to the outside world greatly. The foreign capital inspection system is one of the important measures of directing the distribution of the foreign capital and it can guarantee the safety of host country's economy. Now most of the developed countries and part of the developing countries have already established a system that is suitable and perfect for their situation. However, our country has not established the foreign capital inspection system, the existing rules are over-theoretical and lack of operability. This article puts forward some constructive advice to solve this problem by analyzing it deeply.By comparing and analyzing the American and Canadian's Cross-border Mergers & Acquisitions, this article puts forward the frame of our system.There are third parts in this article.The first part is the introduction of the problem. It states the contents, types, methods and law system of the Cross-border Mergers & Acquisitions,the performance of the Cross-border Mergers & Acquisitions in China and the world and the development tendency. It also analyzes the influence of the reorganization and transformation on China.The second part introduces the main practice in the inspection of the reorganization and transformation in some developed countries, and analyzes the two different systems in America and Canada by putting forward the differences. These differences can be the references to our country. The third part brings forward the limitations of our inspection system by combining the procedure of the law-making for the foreign capital and the introduction of different laws are suitable for different countries in China, then comes out the basic frame of our inspection system of the reorganization and transformation of the foreign capital.
