The Research Of China's Non-Performing Assets Securitization Law

China's banking industry has been facing many problems, such as fewer sources of funds, poor liquidity of assets, high level non-performing assets, operating risk centralized, maturity structure of assets and liabilities not matching and so on. Non-performing assets securitization can help resolve the problem above. However, the securitization of non-performing assets is not only an economic process, but also a complicated legal process, which through a series of contract arrangement to construct foundation legal relationship and the attached legal relationship, and to determine the rights and obligations of many principal. Therefore, the practice of non-performing assets securitization in our country brings new opportunities to the financial market, also make our country's legal system to present the new challenge at the same time.In this paper, empirical analysis and comparative analysis methods is integrated used. First of all, clarifying the definition structure and related legislation of non-performing assets securitization. Second, making an empirical analysis on the latest case of China's non-performing asset securitization and summed up the operation and procedures in this aspect. On some important and difficult part of our country's laws in this regard, analyzing the rules, and indicating its internal reasons connect with China's actual situation of the capital market. Third, pointing out existing problems of non-performing assets securitization in China. Finally, to further improve the legal system of China non-performing assets securitization, and in accordance with China's current situation, taking some policies and legislative advice.Because securitization of non-performing assets is still a novelty in China, so this paper has three significances: One, asset securitization as a new financial tool that will be a lot of different understanding on this issue, this paper do some research from of the latest cases of China's non-performing asset securitization, helping people for good understanding on this issue in China market environment. Two, this paper carries on analysis to China's non-performing asset securitization law, summing up experience and making recommendations to help improve China's related laws. Three, this research on the operation of China's non-performing asset securitization has certain guiding sense, may help to promote China's non-performing asset securitization market to speed up the development.
