According to the related legislation, insider trading can be defined as the following activities: people familiar with inside information use it to trade in securities by themselves or suggest others to trade or reveal the information to others so that they could use it to trade in securities. Insider trading prohibition plays an important part in securities market regulation. The act of insider trading and betraying inside information severely endangers the normal order of the securities exchange market. In order to keep the healthy development of the market and legal rights for the investors, it is the first time for our legislative body to use criminal legislation to regulate the act be a crime in 1998. Until 2005, this article has not been changed.The article is divided into three parts.The first Chapter is about the current questions of insider trading in domestic and analyzes the cause and result of the lack of civil liability regulation and explains the reasons.The second chapter is followed: There is little difference in the form of inside trading regulation between China and those developed markets, but in practice, the efficiency of insider trading regulation in China is not so satisfactory. This article choose to study the laws of English, U.S.A, Japan, Taiwan and some other countries and area for discussion and comparisons.There is two important characteristic of this research work about insider trading. Firstly, Utilizing study methods of comparative analysis, case analysis, this article clarified the related theory and principle and analyzed the integrant factors of the insider trading and its execution.Secondly, this article discusses the problems of insider trading of our country. At last, this article makes some suggestions on our legislation relating to the insider trading and the development of the civil liability of insider trading. The author hope that the paper is useful for the establishing and perfecting of insider trading laws and judicial acts.
