On The Agriculture Cooperative Governance On The Legal Mechanism

It is a global experience that cooperative is a trend. According to the Ministry of Agriculture, there are more than 1.4million cooperative organization in our country, especially since the execution of , the development of cooperative organization is much more optimistic than ever before. Only with reasonable internal governance, organization and the clear relationship of right and duty, the cooperative organizations could cater to the modern completion and protect the rights of its members.The foreign academic areas do a lot research on cooperative governance and the legislation is much better than our nation, especially Western Theories of Economics and International Cooperative Alliance. Now there is a trend that the cooperative is changing to corporation, the cooperative organizations should not abate its own purpose; in the meanwhile its internal legal mechanism should absorb the good aspects of the corporation law.According to the , the internal governance of cooperative organization is similar to the system of corporation law which contains the general meeting of the cooperative, the governing council board of supervisors and manager. All these departments have the relationship of representive, agency and supervision. But during its execution, there are still some problems such as lack of internal control, the organization operated by certain people and the member not willing to take part in the activity. Because of all these problems, it is very important to research on the legal mechanism of the cooperative governance.According to the good legal system of corporation law, in the internal level, setting the organization such as general meeting of the cooperative, the governing council board of supervisors, after all ,we can form a perfect system in the cooperative governance with impact and interaction on each other。In the processing level, the rights of all the authorities could be perfectly divided. Compared to the method we are using, it could encourage the management level to make more effect on the organization. Building a perfect internal supervision system, not only the duty of the board of supervision, also include the members of the organization.As we spoke above, we have to admit that the cooperative governance is quite different from the corporation governance. The basic rule for the cooperative is that: serve all the numbers of the crew and protect the rights of its number. So we have to insist these three principles: the democracy of the party number, making benefits for the members and revenue limited pay-back.
