Research On The Authorized Operation Legal System Of Solely State-Owned Company's Shareholder

This paper's purpose is to build a detailed authorized operation legal system of solely state-owned company'shareholder(it is specified to SASAC authorized operation legal system in this paper). Comparison and Theory with practice are the major research methods in this paper. This paper is consisted of four parts:In the first part, it gives the definition of SASAC authorized operation legal system, discusses the necessity of the legal system and points out the problems in it.In the second part, it analyzes the construction approaches of SASAC authorized operation legal system. The author thinks that SASAC authorized operation is similar to Trust and we should build the legal system in accordance with Trust. And, it will help to realize"separating government administration from enterprise management"and improve the governance structure of the solely state-owned company.In the third part, it designs the details of SASAC authorized operation legal system. The author discusses the extent of authorized operation, condition, rights and obligations belonged to SASAC and the board of the solely state-owned company.In the fourth part, it puts forward some suggestions on the measures which will help to build SASAC authorized operation legal system. The author views that Optimizing the selection and appointment mechanism of directors, speeding up the board construction are two vital measures.
