A Study On The Legal Issues Of Overseas Listing Of Chinese Company

It is an important means to utilize foreign investment through overseas listing and raise funds in the international capital market.In recent years,cross-board listing has become the development target of most companies.With the number of overseas listing companies is on the increase,the relative legal issues come into being consequently, such as legal regulations issues,information disclosure issues,corporate governance issues,foreign exchange issues and so on.Therefore,the study of overseas listing will not only make the regulation to the action of capital collecting more effective and accelerate economic development,but also promote the corporation governance and development.The whole thesis consists of five Parts.Chapter one is a brief account.It introduces the background and action of cross-boarder listing,and cross-boarder listing company can be divided into four modes futher:direct,indirect,share-deposit certificate and multi-listed.According to the different features of cross-boarder listing companies,the corporations can be divided into three groups:red-chip corporation,H,N,S,L-share corporation and private-run corporation,then expounds three types of overseas listing companies and the characteristics of the similarities and differences.Chapter two introduces the history of overseas listing of Chinese company,and discusses markets and the laws concerned in the US,HongKong and Singapore,then provides countermeasures to the problem of legal supervision.Chapter three introduces legal basis of information disclosure,and analyze legal rules concerned in China,the US,Hongkong and Singpore.To the issues of information disclosure in the process of cross-boarder listing,the paper provides countermeasures to the issues.Chapter four introduces legal basis of coporate governace,and analyze legal rules concerned in China,the US,Hongkong and Singpore.To the issues of coporate governace in the process of cross-boarder listing,the paper provides countermeasures to the issues.Chapter five introduces Concept,type and status of foreign exchange,and analyze legal rules concerned in China,the US,Hongkong and Singpore.To the issues of foreign exchange in the process of cross-boarder listing,the paper provides countermeasures to the issues.
